1. Welcome to Miralot

Please read these General Terms and Conditions ("Terms") carefully before using our services. By accessing and using the Miralot platform ("Platform"), you agree to be bound by these Terms and our Privacy Policy.

"You" refers to any user of the Platform. "Miralot" refers to the Platform and the services provided by Atlas Distribution GmbH.

2. Description of Services

Miralot provides the following services:

  • Submission Management (Free Plan): Tools for organising and tracking your own festival submissions. No submissions are made by Miralot under this plan.
  • Strategy Service (Paid Plan): Tools and recommendations to help filmmakers plan their festival submissions, track deadlines, and manage film assets.
  • Submission Service (Paid Plan): If you choose this service, you authorise Miralot to act as your representative for submitting your film to festivals, using the information and materials you provide. Submission fees charged by festivals or third-party platforms are not included in your Miralot subscription.

3. Fees & Payment

Miralot is offered as a freemium service:

  • Free Plan (Submission Management): Basic access to the Platform for organising and tracking your own festival submissions is provided free of charge. Miralot does not submit films on your behalf under this plan.
  • Paid Plans (Strategy Service and Submission Service): Access to strategy tools and the option to have Miralot submit films on your behalf require a paid subscription. The scope of each plan and applicable prices are displayed on the Miralot website at the time of booking.
  • Festival submission fees and third-party charges are not included in any subscription and will be charged separately as incurred.
  • Subscription fees are due in advance for the agreed billing period and will be charged via the selected payment method (e.g. Stripe, credit card).
  • All prices are quoted in Euro and include VAT where applicable.
  • If a payment cannot be processed, Miralot may suspend access to paid features until full payment is received. Free Plan access remains unaffected.
  • You may cancel your subscription at any time in accordance with Section 9 (Termination). Subscription fees for the current billing period are non-refundable, except where statutory cancellation or withdrawal rights apply.

4. User Account & Eligibility

  • Users must be at least 18 years old or use the Platform under the supervision of a legal guardian.
  • You are responsible for safeguarding your login credentials and all activities on your account.
  • Use of another user's account or credentials is strictly prohibited.
  • Miralot may suspend or terminate accounts that violate these Terms or applicable laws.

5. Intellectual Property & Rights

By submitting a film or related materials, you agree:

Strategy Service: You grant Miralot a non-exclusive, royalty-free, worldwide licence to use uploaded materials (synopsis, stills, trailers, submission history) strictly for strategy recommendations, platform functionality, and anonymised analysis to improve services. Any promotional use (e.g. marketing) requires your separate, explicit consent.

Submission Service: In addition to the above, you authorise Miralot to provide your film materials (files, synopsis, stills, press kits) to selected festivals. Miralot will not alter the content of your film without your explicit consent.

Authority to Act: You grant Miralot a revocable power of attorney (Vollmacht) to submit your films to selected festivals on your behalf. This authority may be revoked at any time before submission to a festival occurs. Once a submission has been completed to a festival, withdrawal is no longer possible for that specific submission.

Duration of Rights: Rights remain in effect until (a) completion of all selected festival submissions, or (b) termination of your subscription, whichever is later. Thereafter, your personal data and film materials will be deleted within 90 days unless you consent to extended retention.

Your Warranties: You warrant that you own or have secured all necessary rights (copyright, music, distribution, image rights, etc.) for your film and its content.

6. Data Protection & Privacy

  • Miralot complies with the German Federal Data Protection Act (BDSG) and the EU General Data Protection Regulation (GDPR).
  • Your personal data is processed only for purposes outlined in these Terms and our Privacy Policy.
  • Processing is based on Art. 6(1)(b) GDPR (performance of contract). After the termination of rights, your personal data and materials are deleted within 90 days.
  • Anonymised film metadata may be retained under Art. 6(1)(f) GDPR (legitimate interests) for service improvement. You may object under Art. 21 GDPR.
  • Your full data subject rights (access, rectification, erasure, restriction, portability, complaint to supervisory authority) are set out in our Privacy Policy.

7. Licence & Restrictions

You are granted a limited, non-transferable licence to use the Platform in accordance with these Terms. The Platform may be used by individual filmmakers, production companies, distributors, and other rights holders for the purposes of the services offered by Miralot.

You agree not to:

  • reproduce, distribute, or commercially exploit Platform content beyond the intended use of the services,
  • copy, extract, scrape, harvest, or otherwise collect data, content, or database information from the Platform for the purpose of creating a competing service or for any use not expressly authorised by Miralot,
  • use the Platform for unlawful purposes or in breach of these Terms.

8. Liability & Disclaimers

  • Mandatory liability: Miralot is fully liable for damages caused by intent, gross negligence, or personal injury, as required by law.
  • Limited liability: For other damages, liability is limited to foreseeable, typically occurring damages.
  • Exclusions: Miralot is not liable for festival rejection decisions, third-party platform failures, indirect damages, or user errors.
  • Data loss: We maintain regular backups, but you are responsible for keeping copies of your materials.
  • AI recommendations: All recommendations are suggestions; final decisions remain with you.

No guarantees: Miralot makes no guarantees regarding:

  • the accuracy or completeness of its database,
  • the success of any festival submissions,
  • the content of third-party websites linked from the Platform.

9. Termination

  • Either party may terminate the service relationship with 30 days' notice.
  • Ongoing festival submissions will continue until completion.
  • Revocation of submission authority is possible any time before the actual submission to a festival occurs.
  • After termination and expiry of rights: personal data and film materials are deleted within 90 days, unless you consent to extended retention.
  • Miralot may terminate immediately for material breach of these Terms.

10. Amendments & Availability

  • We may amend these Terms from time to time. You will be notified of any material changes at least six (6) weeks in advance by email. If you do not object in writing within this period and continue to use the Platform, the changes will be deemed accepted. If you object, your contract continues under the old Terms, but either party may terminate with statutory notice. Your right to terminate remains unaffected.
  • Miralot may modify, suspend, or discontinue the Platform at any time. We are not liable for data loss or service interruptions.

11. Indemnification

You agree to indemnify and hold harmless Miralot and its employees from any third-party claims, liabilities, or expenses arising from: your use of the Platform, your violation of these Terms, or infringement of third-party rights in your content.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of Germany. The exclusive place of jurisdiction is Berlin, Germany. If any provision is deemed invalid, the remaining provisions remain in full force and effect.

13. Right of Withdrawal (Consumers Only)

13.1. Statutory Right of Withdrawal

If you are a consumer within the meaning of Article 2(1) of Directive 2011/83/EU and § 13 BGB (German Civil Code), you have the right to withdraw from this contract within 14 days without giving any reason.

The withdrawal period is 14 days from the date of conclusion of the contract.

by means of a clear statement (e.g. a letter sent by post or an email) of your decision to withdraw from this contract. You may use the model withdrawal form below, but it is not obligatory.

To meet the withdrawal deadline, it is sufficient that you send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

13.2. Consequences of Withdrawal

If you withdraw from this contract, we shall reimburse you for all payments we have received from you, including delivery costs (if applicable), without undue delay and in any event no later than 14 days from the day on which we are informed of your decision to withdraw from this contract.

We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless expressly agreed otherwise with you; in any event, you will not incur any fees as a result of such reimbursement.

If you requested that the services begin during the withdrawal period, you shall pay us an amount proportionate to the services already provided up to the time you notified us of your withdrawal. This means that for subscription services you will be charged for the period from the start of the subscription until the withdrawal date.

13.3. Exclusion or Early Expiry of the Right of Withdrawal

The right of withdrawal does not apply, or may expire prematurely, in the following cases:

  • for contracts on services that have already been fully performed by Miralot, if performance began only after you gave your prior express consent and your acknowledgment that you lose your right of withdrawal once the service has been fully performed,
  • for subscription services, once the billing period has been fully used and completed.
